Sales Terms

These Sales Terms govern the sale of subscriptions to the Palladium Cookies SaaS platform. They apply to any business or individual customer subscribing to a paid plan.

1.Seller identification

Palladium Cookies SAS, whose full details are in the legal notice (/legal/mentions-legales). Sales: sales@palladium-cookies.com. Billing: billing@palladium-cookies.com.

2.Scope

These Sales Terms apply to all orders placed on palladium-cookies.com. Subscribing to a paid plan constitutes full acceptance of these Terms. Any conflicting customer terms are unenforceable unless explicitly agreed in writing.

3.Pricing and plans

Current pricing is published on /tarifs. Four plans: Free, Pro, Business and Enterprise (quote). Prices exclude tax; applicable VAT is added per the customer's jurisdiction. Prices may evolve; any change is notified 30 days before taking effect and does not affect ongoing subscriptions.

4.Payment terms

Payments are processed by Stripe (subprocessor). Accepted methods: card (Visa, Mastercard, American Express), SEPA direct debit. Billing is monthly or annual at customer choice; annual billing benefits from a reduced monthly rate. Any unpaid invoice triggers late-payment penalties at the legal rate plus five points, plus a flat €40 collection-cost indemnity.

5.Duration and renewal

Subscriptions are taken without minimum term. They renew automatically at each due date (monthly or annual) unless previously cancelled. No minimum-term commitment applies except for contracted Enterprise plans.

6.Cancellation and pay-as-you-go

Customers may cancel at any time from the billing interface. Cancellation takes effect at the end of the current billing period. Plan changes (upgrade or downgrade) are prorated. Beyond the plan's consent quota, each additional 1,000 consents is billed €0.40 excl. VAT, with a configurable cap.

7.Service Level Agreement

Best-effort on Free. On Pro and Business, the publisher commits to reasonable continuity efforts. On Enterprise, a contractual SLA may be negotiated with automatic credits on confirmed breach. Detailed commitments appear in the Enterprise contract.

8.Liability cap

The publisher's liability is capped, all causes combined, at the amount actually paid by the customer over the twelve (12) months preceding the triggering event. The publisher shall not be liable for indirect damages, loss of business, loss of opportunity or revenue loss.

9.Personal data and DPA

Personal data processing is covered by an Art. 28 GDPR DPA available at /legal/dpa and signed before production. The subprocessor list is public at /legal/subprocessors.

10.Mediation and dispute resolution

In case of dispute, the consumer customer may freely use a consumer mediator per the French Consumer Code. Failing amicable resolution, the French courts of the publisher's registered office have sole jurisdiction, subject to public-order rules.
